TCC Car Auctions — Terms of Use

1. Introduction

These Terms of Use govern access to and use of the TCC Car Auctions mobile application, website, administrative systems, auction system, and related services collectively referred to as the "Platform."

The TCC Car Auctions Platform is licensed to and commercially operated by TCC Car Auctions LLC ("TCC Car Auctions LLC", "we", "our", or "us").

The Platform is developed and technically managed by T C C PORTAL ("TCC").

Copyright in the Platform software and associated intellectual-property rights, including source code, software architecture, APIs, technical designs, database structures, documentation, and other proprietary technology developed by TCC, are held by T C C PORTAL, except where third-party intellectual property is expressly identified.

TCC provides the technology underlying the Platform. TCC Car Auctions LLC operates the vehicle-auction business conducted through the Platform.

2. Acceptance of Terms

By logging in, accessing the Platform, bidding, purchasing a vehicle, using a Buy Now function, or otherwise using TCC Car Auctions, you confirm that you have read, understood, and agree to these Terms of Use.

If you do not agree to these Terms, you must not use the Platform.

Continued use following amendments constitutes acceptance of the revised Terms.

3. User Eligibility and Account Creation

TCC Car Auctions is a restricted Platform intended for approved vehicle Dealers and other authorized users, including managers, staff, and other commercial users who have been granted access for legitimate business purposes.

The application does not provide public self-registration.

User accounts are created only following an offline application, verification, authorization, or approval process conducted or approved by TCC Car Auctions LLC. Accounts may be issued to approved Dealers, managers, staff, and other authorized business users according to their assigned role.

Depending on the user's role, access may require the Dealer, manager, staff member, or other authorized user to:

TCC Car Auctions LLC reserves the right to approve, reject, restrict, or revoke access for any Dealer, manager, staff member, or other authorized user based on reasonable commercial, legal, operational, fraud-prevention, compliance, role-based access, or security considerations.

4. Login Credentials and Account Security

Approved users will receive login credentials from TCC Car Auctions LLC or an authorized administrator acting on its behalf.

Users may be required to change the initial password after first login.

Each user is responsible for:

An account must not be sold, transferred, shared with unauthorized persons, or otherwise misused. Managers and staff must use only the access rights assigned to their role.

Activity carried out through a user's credentials may be treated as activity authorized by that user and, where applicable, by the business or Dealer account to which the user is assigned, unless TCC Car Auctions LLC has been notified of unauthorized access.

5. Auction Participation

Only approved and authorized Dealers may participate in auctions unless expressly stated otherwise.

Managers, staff, and other authorized users may access administrative, operational, listing, inspection, reporting, or account-management functions only to the extent permitted by their assigned role. They may not place bids or enter vehicle-purchase commitments unless they are separately authorized to act for an approved Dealer.

Binding Bids

Every bid submitted through the Platform constitutes a binding commercial offer by the Dealer to purchase the relevant vehicle at the bid amount submitted, subject to the applicable auction terms.

Dealers are responsible for reviewing bid amounts before submission.

Successful Bids

A Dealer may become the successful bidder where:

or where the Dealer successfully completes an available Buy Now transaction.

A successful Dealer is obligated to complete the purchase in accordance with the applicable payment and collection requirements.

6. Auction Types

Reserve Auctions

Unless expressly identified otherwise, an auction may be subject to a reserve price.

The reserve price may be confidential.

The highest bid does not automatically result in a completed sale where the applicable reserve price has not been achieved.

Non-Reserve Auctions

Where an auction is expressly identified as Non-Reserve, the vehicle may be sold to the highest qualifying bidder in accordance with the auction conditions.

Buy Now

Certain vehicles may include a Buy Now option.

Where a Dealer confirms the Buy Now transaction, the Dealer agrees to purchase the vehicle at the displayed Buy Now price and applicable charges.

Such confirmation constitutes a binding transaction.

7. Vehicle Information

Vehicle listings may contain information including:

Dealers are responsible for reviewing all available information before bidding.

8. Vehicle Condition

Unless expressly stated otherwise, vehicles are offered on an as-is and where-is basis, subject to the information made available through the Platform.

Dealers are expected to review:

To the maximum extent permitted by applicable law, TCC Car Auctions LLC and TCC are not responsible for defects that were disclosed, reasonably identifiable from available information, or unknown to them at the time of sale.

Nothing in these Terms limits any liability that cannot legally be excluded.

9. Payments and Charges

Successful Dealers are responsible for arranging collection or delivery of purchased vehicles in accordance with instructions provided by TCC Car Auctions LLC.

Dealers must not intentionally circumvent TCC Car Auctions to conclude a direct vehicle transaction arising from an introduction, listing, opportunity, seller, or vehicle first made available through the Platform.

Where intentional circumvention occurs, TCC Car Auctions LLC may pursue:

Any specific commission or penalty applicable to a Dealer may be governed by the Dealer's separate commercial agreement with TCC Car Auctions LLC.

13. Suspension and Termination

TCC Car Auctions LLC may suspend, restrict, or terminate access for any Dealer, manager, staff member, or other authorized user where reasonably necessary, including where:

14. Copyright and Intellectual Property

Copyright in the TCC Car Auctions software and intellectual-property rights relating to technology developed by TCC are held by T C C PORTAL.

The Platform is commercially operated by TCC Car Auctions LLC under licence.

Except for the limited right to access and use the Platform in accordance with these Terms and assigned permissions, no intellectual-property rights are transferred or granted to Dealers, managers, staff, or other authorized users.

Dealers, managers, staff, and other users must not, without authorization:

Vehicle photographs, vehicle information, trademarks, third-party software, and other third-party content remain subject to the intellectual-property rights of their respective owners.

15. Role of T C C PORTAL

TCC acts as the developer, technology manager, and software intellectual-property rights holder in relation to the TCC Car Auctions Platform.

TCC does not, solely because it develops or technically manages the Platform:

21. Governing Law and Jurisdiction

These Terms are governed by the laws applicable in the United Arab Emirates and the Emirate of Dubai.

The parties should first attempt to resolve disputes through good-faith negotiation.

Where a dispute cannot be resolved amicably, it shall be submitted to the competent courts of Dubai, United Arab Emirates, unless another binding written agreement between the relevant parties provides otherwise.
